DESCRIPTION: Downtown NYC law firm seeks a Corporate Transactional Paralegal. Must have a College degree and 5 + years prior experience at a major law firm as a Corporate Legal Assistant with corporate finance and/or securities exp. Also general knowledge of Blue Sky is a plus. In addition, the candidate must have strong interpersonal and communication skills, as well as great attention to detail. Must be a team player and assist with other departments if needed.
RESPONSIBILITIES:
• Responsible for bond financing, secured loans, public offerings, private placements, mergers and acquisitions, as well as general corporate matters.
• File Articles of Incorporation/Organization and Formation.
• Work with vendors to coordinate UCC searches then prepare UCC summary charts and arrange various types of UCC filings with jurisdictions.
• Prepare and file state qualification forms, dissolution/cancellation, amendments, SS4 forms and EINs and other organizational and related documents.
• Assist in the preparation of transaction documentation, making revisions and proofreading, execution of transactions, document distributions and coordinating the closure of transaction files.

Real Estate Paralegal to $70K DOE- Red Bank, NJ

Real Estate Paralegal needed to join our client’s Real Estate Practice Group. Ideal candidate will have knowledge of commercial real estate transactions, asset based and corporate lending, financial services and mortgage banking; Uniform Commercial Code filing and search experience. The candidate will also be responsible for:

• Managing commercial loan files from commitment letter through to settlement and funding.
• Performing detailed analysis of real estate title examination reports and ancillary documentation.
• Analyzing internal bank loan approvals to determine required due diligence and documentation for each loan transaction.
• Preparing and reviewing loan documentation to ensure compliance with loan approval and/or commitment.
• Acting as a liaison with lenders, bank/borrower counsel and title companies.
• Implementation and filing of legal documents relating to business entity formation such as; initial and amended certificates of incorporation and bylaws, certificates of formation and operating agreements, officer and secretary certificates, board of director and shareholder resolutions and other related material.
• Review of business based contracts for accuracy and completeness to determine that all necessary requirements have been approached, researching and submitting recommendations of needed changes.
• Obtaining documentation and communications with public and governmental sectors, including the New Jersey Department of Treasury, Division of Corporations.
• Drafting of certificates and agreements of plan and merger for all types of corporate entities, including entities based out of different jurisdictions.
